LABOR AND EMPLOYMENT

 

Steps When Hiring Employees
1. Determine whether workers will be independent contractors or employees.
2. Establish personnel policies regarding compensation, fringe benefits, termination, grievances, harassment, discrimination, etc.
3. Review federal and state employee regulations such as minimum wage, overtime pay, work hours, employee postings, etc.
4. Apply for a federal employer identification number (FEIN) through the IRS with Form SS-4.
5. Apply for Colorado State wage withholding account through the Colorado Department of Revenue with form CR100.
6. Obtain required employer postings and post so all employees can see them – see U.S. Department of Labor and Colorado Department of Labor
7. Employees must complete form I-9 when hired.  Under Colorado law, employers must verify employee's legal work status and keep documentation (see http://www.mofo.com/news/updates/bulletins/bulletin02205.html)
8. Employees must complete form W-4 when hired.  Employers must submit a copy to the Colorado State Directory of New Hires within 20 days of the hire date.
9. Employers must withhold federal and state income taxes and Social Security/Medicare taxes from employee wages.  Employers must send amount withheld to the IRS and Colorado Department of Revenue.
10. Employers must pay federal and state unemployment insurance – see IRS and Colorado Department of Labor and Employment
11. Check with local authorities to see if there are any tax or registration requirements.
12. Employers must obtain Workers’ Compensation Insurance.
13. Review OSHA requirements for the business.  Develop safety procedures.
14. Review the Americans with Disabilities Act (ADA) requirements for the business.
15. Employers must provide employees with a form W-2 and independent contractors with form 1099 by January 31.  Copies of these forms must be sent to the IRS and Colorado Department of Revenue by February 28.  Some forms must also be filed with the Social Security Administration by February 28.

Independent Contractor vs. Employee
Notes: In general, independent contractors determine how work is to be performed, have a significant investment in their work, can realize a profit or loss, are responsible for paying their own income taxes, are paid by the job, and have a business to business relationship.  Contact the IRS for final determination.   Generally, employers have to file 1099-MISC with IRS to report payments of $600 or more to independent contractors.

Retail Sales Tax License
Notes: Required if selling, renting, or leasing product to end user of product.  Form CR-0100 ($16 for 2 year license +$50 deposit) filed with Department of Revenue.  A business with multiple branches in the state must have a separate license for each location (exception mobile businesses and vending machines).   All county and most city sales taxes are collected by the Colorado Department of Revenue.  Exceptions are home-rule cities.  Check city and county government offices to determine license and permit requirements.

Income Tax

Notes: Federal income taxes are reported to the IRSIf you expect to owe the IRS more than $1,000 you must make federal estimated tax payments during the year.   State income taxes are reported to the Colorado Department of Revenue.

Internet Sales Tax

Notes: A Colorado Internet business must collect sales tax on items sold to customers in Colorado.  Sales tax is not collected on Internet sales to customers outside of Colorado.

Payroll Taxes

Notes: Payroll taxes must be withheld and/or paid if there are employees in the business:  Federal Unemployment Insurance (FUTA), State UI, Social Security (FICA) and Medicare.  The employer’s portion of FICA must be paid by the self-employed.  Employers must withhold federal, state, and local income taxes (based on W-4 employee completes) and the employee’s portion of FICA/Medicare from their employee’s wages.  Wages and withholding are reported annually on a W-2.  Businesses must provide employees with a W-2 by January 31 of the following year.  Order W-2 forms through the IRS.

Property Taxes

Notes: Property taxes are paid on real and business personal property.  Contact the county assessor or treasurer in the county where business is located.

Sales Tax

Notes: Sales tax must be collected if goods are sold to a consumer in Colorado.  Many cities and counties levy local sales taxes.  There are also home rule entities that collect their own tax – contact local sales tax division.  A Sales Tax I.D. Number is required.  State, county, and city sales taxes are collected by the Department of Revenue.    Businesses with a Wholesaler License do not need to pay sales tax on items purchased for use in a product that will be resold to an end user.  See  www.taxview.state.co.us/ for sales tax rates and sales tax license verification.

Self-employment Taxes

Notes: Sole proprietors, partners, and members of an LLC must file estimated self-employment taxes if taxes are expected to be more than $1,000 (federal and state separately).  These are paid quarterly to the IRS (income, FICA/medicare – both employer and employee portions) and the Department of Revenue (income).

A business plan (BP) is required for any business seeking financing. However, it is recommended for all businesses. The BP for a start-up requiring financing should have detailed support for any assumptions.  The BP for an acquisition of an existing business that is seeking financing does not need as much detail, but should include the prior 3 years actual financials and projections for the next 2 years.  The BP for a start-up should include:

1. Executive summary with a description of the business, goals, timeline, target markets, differentiation, strategy for success, management team skills and experience, 2-3 year key financial projections, summary of the total project cost and sources for any funding requirements.   Take one point from each section of the business plan.  This should be no longer than 2 pages.  Make sure the information in the summary matches throughout the business plan.  Keep to the facts and stay away from too many unsupported adjectives.
2. Details of the business with history of the business, legal structure, organization, ownership, location
3. A marketing plan including products and services offered, competitive advantages, method of distribution, analysis of competition, competitive strategy, pricing strategy, marketing budget.  Use of a library to access databases with market averages for comparison is recommended, e.g. RMA, IRS averages by SIC
4. A 3-5 year financial plan with income statement, balance sheet, and cash flow statements.  The first year should be monthly with the remaining data stated annually.  Start-up costs and fixed assets should be listed, along with a break-even analysis (Break-even = Fixed Costs/(Unit Price of product/service – Unit Variable Cost)).  Include a summary with total project cost, how much will be input by the borrower, funds expected from other sources like a bank, owner carried, etc. - breakdown the total costs by:  capital requirements for the business, working capital, SBA guarantee fee (if applicable), closing costs, and processing fees.
5. Supporting documents such as resumes, legal documents, references, credit scores/reports of owners

Revolving line of credit is obtained from a bank or on a credit card.  Supplies funds to fill temporary cash shortages.  Typically used to finance working capital, eg. accounts receivable, inventory.

There are no federal government grants for starting a new business.  Grants are generally given to organizations to stimulate or encourage business enterprises.

Incubators

 

Designed to encourage business start-ups.  They provide workshops, multi-tenant office space, shared office services, and improved access to capital.  Each center provides services to a very specific clientele. 

 

SBA Basic 7(a) Loan Guaranty

Debt – Term Loan

Serves as the SBA’s primary business loan program to help qualified small businesses obtain financing when they might not be eligible for business loans through normal lending channels. 

 

Borrower deals directly with a bank or lender.  The bank deals with the SBA.   Generally requires 20-30% equity investment from borrower.

 

All businesses that are considered for financing under SBA’s 7(a) loan program must:

·          meet SBA size standards, i.e. be a small business - one that is independently owned and operated and not dominant in its field of operation

·          be for-profit

·          not already have the internal resources (business or personal) to provide the financing

·          be able to demonstrate repayment

·          be engaged in, or propose to do business in, the United States or its possessions

·          have reasonable owner equity to invest

·          use alternative financial resources first including personal assets

 

It should be noted that some businesses are ineligible for financial assistance., eg. nonprofits, gambling, real estate investment firms, lenders.

 

Interest rates may be fixed or variable:  Fixed rate loans interest rates:

$25k or less/ 1-7 yr. Maturity: up to Prime + 4.25%

$25k or less/ 7+ yr. Maturity: up to Prime + 4.75%

$25k - $50k/ 1-7 yr maturity: up to Prime + 3.25%

$25k - $50k/ 7+ yr maturity: up to Prime + 3.75%

$50k +/ 1-7 yr maturity: up to Prime + 2.25%

$50k +/ 7+ yr maturity: up to Prime + 2.75%

 

Variable rate loans may be pegged to either the lowest prime rate or the SBA optional peg rate. 

Up to $1.5 million guaranteed.

 

SBA guaranty:

·          $150k or less:  up to 85% of loan

·          $150k or more: up to 75% of loan

7-25 year maturity.

 

SBA charges lenders a guaranty fee (2% - 3.75%, depending on loan size) and a servicing fee (.545%) for each loan approved and disbursed.  The lender may charge the upfront guaranty fee to the borrower after the lender has paid the fee to SBA and has made the first disbursement of the loan. The lender's annual service fee to SBA cannot be charged to the borrower.

 

 

SBA Microloan, a 7(m) Loan Program

Debt – Short Term Loan

The MicroLoan Program provides very small loans to start-up, newly established, or growing small business concerns. Under this program, SBA makes funds available to nonprofit community based lenders (intermediaries) which, in turn, make loans to eligible borrowers in amounts up to a maximum of $35,000. The average loan size is about $10,500. Applications are submitted to the local intermediary and all credit decisions are made on the local level.

CommunityExpress, a pilot program, provides small business loans including technical and management assistance for loan recipients. This loan program is designed primarily for businesses in pre-designated geographic serving rural or low-moderate income (LMI) areas of the state.

 

Patriot Express targets those in the military community who want to establish or expand small businesses.

SBA Express:  Up to $350,000

Up to 50% of loan is guaranteed

 

Community Express:  Up to $250,000. 

75%-85% of loan is guaranteed.

 

 

Patriot Express:  Up to $500,000

75%-85% of loan is guaranteed

SBA Certified Development Company (504) Loan Program (CDC)

Debt – Term Loan

Long-term financing tool - proceeds from 504 loans must be used for fixed asset projects, not for working capital or inventory, consolidating or repaying debt, or refinancing. Generally, the project assets being financed are used as collateral. Personal guaranties of the principal owners are also required.  To be eligible, the business must be operated for profit and fall within the size standards set by the SBA.  SE SBA website for approved CDC’s.

SBA Small Business Investment Company (SBIC) program

Equity

SBICs are licensed by the Small Business Administration, are privately organized and privately managed investment firms. They are participants in a vital partnership between government and the private sector economy. With their own capital and with funds borrowed at favorable rates through the Federal Government, SBICs provide venture capital to small independent businesses, both new and already established.  SEE SBIC table below for SBA approved SBIC’s.

Generally require an equity investment in the company.

Private or limited stock offerings can raise equity from outside investors without the cost and regulations associated with public offerings.  The private offering must consist of debt and/or equity.  Public stock offerings give the business access to growth capital and give investors a more liquid asset.  These are expensive, time-consuming, and highly regulated.

·          An LLC can neither “employ” its members, nor pay them “wages.”  Instead, members are taxed on their shares of LLC net income.  In addition, all of the LLC’s trade-or-business income may be subject to SE tax.   Members, however, generally can receive distributions tax-free.  A strategy is available to LLC members, however, that can reduce exposure to the SE tax. One essential element of this strategy requires that the owner be issued two classes of interest: a managing interest, and a non-managing interest. In appropriate circumstances, these interests will be respected as distinct, so that the income from each will be treated separately, and the income attributable to the non-managing interest can escape the SE tax. Federal Requirements for Closing a Business

Notes: There are typical actions that are taken when closing a business. An annual tax return for the last year in business must be filed.  If there are employees, the final employment tax returns must be filed, in addition to making final federal tax deposits of these taxes.  The annual tax return for a partnership, corporation, S corporation, Limited Liability Company or trust includes check boxes near the top front page just below the entity information. For the tax year in which your business ceases to exist, check the box that indicates this tax return is a final return. If there are Schedule K-1s, repeat the same procedure on the Schedule K-1.  Returns to report disposing of business property, reporting the exchange of like-kind property, and/or changing the form of your business must also be filed.  See IRS business closing website.

Buying an Existing Business

Notes: Check recorder’s office in county where business and seller are located and Secretary of State, Uniform Commercial Code Section, for records of any security interests filed as liens.  If retail business, have current owner file Form DR0096 to get a tax (sales, wage withholding, income) status letter from the Department of Revenue.  Also check with city and county assessor, treasurer and/or recorder for local use and property tax status.  Previous owner’s sales tax licenses, state wage withholding and unemployment insurance accounts and EIN’s do not transfer to new owner except when purchasing stock of existing corporation.  Depending on the type of business, a change of ownership form must be filed with the Secretary of State and/or the Department of Revenue.

Franchises

Notes: A franchise is a legal and commercial relationship between the owner of a trademark, service mark, trade name or advertising symbol and an individual or group seeking the right to use that identification in a business.  A franchise agreement governs the method for conducting business between the two parties.    Generally, a franchisee sells goods or services that are supplied by the franchiser or that meet the franchiser’s quality standards.  The Federal Trade Commission (FTC) and state regulations require sellers of franchises to provide disclosure statements to the buyer.

Licenses

Notes: Licensing is used by companies that are in the process of establishing brand and name recognition.  There is no FTC or state regulations as with a franchise.  Unlike a franchise, licensors do not charge franchise fees, royalties, nor do they have strict rules that franchisors impose on their franchisees.  A license agreement governs the method for conducting business between the two parties.  Understanding of franchise regulations is necessary to avoid being classified as a franchise.
